- Provide legal guidance and support to internal stakeholders on a variety of legal matters, including commercial contracts, regulatory compliance, employment law, and consumer protection.
- Interpret laws, regulations, and industry standards relevant to the FMCG sector, ensuring the company's activities and policies comply with legal requirements.
- Monitor legal developments and changes in regulations affecting the FMCG industry, advising management on potential impacts and necessary actions.
- Review, draft, and negotiate a wide range of contracts and agreements, including supplier contracts, distribution agreements, sales contracts, and licensing agreements.
- Ensure contracts are legally sound, accurately reflect the company's interests, and mitigate risks related to liability, indemnity, termination, and dispute resolution.
- Collaborate with business teams to negotiate favorable terms and resolve contract disputes or discrepancies.
- Manage intellectual property assets, including trademarks, patents, copyrights, and trade secrets, ensuring proper registration, protection, and enforcement of IP rights.
- Conduct IP clearance searches, assess infringement risks, and advise on strategies to protect and defend the company's IP portfolio.
- Draft and review IP-related agreements, such as licensing agreements, non-disclosure agreements, and assignments.
- Manage and oversee legal disputes and litigation matters, including claims, disputes with vendors or customers, regulatory investigations, and enforcement actions.
- Collaborate with external legal counsel as needed, providing guidance and instructions, managing litigation strategy, and evaluating settlement options.
- Seek to resolve disputes through negotiation, mediation, or alternative dispute resolution methods whenever feasible.
- Ensure compliance with corporate governance principles, legal requirements, and ethical standards, advising on board matters, corporate policies, and compliance programs.
- Assist in the preparation and filing of corporate documents, such as annual reports, board resolutions, and regulatory filings.
- Provide training and guidance to employees on legal and compliance matters, promoting a culture of integrity and legal compliance throughout the organization.
- Bachelor's degree in law (LLB) from an accredited institution; admission to the bar or equivalent legal qualification is required.
- Proven experience as a legal advisor or in-house counsel, preferably in the FMCG industry or a related field.
- Strong knowledge of commercial law, contract law, intellectual property law, and regulatory compliance relevant to the FMCG sector.
- Excellent analytical, research, and problem-solving skills, with the ability to analyze complex legal issues and provide practical solutions.
- Effective communication and negotiation skills, with the ability to communicate legal concepts clearly and concisely to non-legal stakeholders.
